Kurumsal Yönetim Endeksi'ne dahil olmanın firma performansı sıralaması ve yatırımcıların kurumsal yönetim algısı: BİST 100 örneği

Abstract

Kurumsal yönetim, şirketlerin şeffaflık, hesap verebilirlik, sorumluluk ve adillik ilkeleri doğrultusunda etkin şekilde yönetilmesini amaçlayan bir sistemdir. Bu çalışmanın temel amacı, Borsa İstanbul Kurumsal Yönetim Endeksi'ne dahil olmanın firmaların finansal getirileri üzerindeki etkilerini ve yatırımcıların kurumsal yönetim algısını incelemektir. Araştırma kapsamında, imalat sanayisinde faaliyet gösteren şirketlerin performansları analiz edilmiş ve BİST yatırımcılarının kurumsal yönetim ilkelerine duyarlılığı değerlendirilmiştir. Teorik çerçevede kurumsal yönetimin ortaya çıkış nedenleri, gelişimi ve uygulama modelleri ele alınmış; ampirik bölümde ise şirket performansları ve yatırımcı eğilimleri karşılaştırılmıştır. Sonuçlar, kurumsal yönetim ilkelerine yüksek uyum gösteren şirketlerin hem yatırımcı güveni kazandığını hem de daha sürdürülebilir finansal sonuçlar elde ettiğini ortaya koymuştur. Bu doğrultuda, kurumsal yönetimin yaygınlaştırılması, sermaye piyasalarının gelişimi açısından kritik öneme sahiptir.

Corporate governance is a system aimed at ensuring that companies are managed effectively in accordance with the principles of transparency, accountability, responsibility, and fairness. The primary objective of this study is to examine the impact of inclusion in the Borsa Istanbul Corporate Governance Index on firms' financial returns and to assess investors' perceptions of corporate governance. Within the scope of the research, the performance of companies operating in the manufacturing sector was analyzed, and BIST investors' sensitivity to corporate governance principles was evaluated. The theoretical framework addresses the emergence, development, and implementation models of corporate governance, while the empirical section compares firm performance and investor behavior. The findings indicate that companies with high compliance with corporate governance principles gain stronger investor confidence and achieve more sustainable financial outcomes. Accordingly, the widespread adoption of corporate governance practices is of critical importance for the development and stability of capital markets.
